2. Scope

These terms apply to all quotes, orders and deliveries of promotional products and branding services made through merchrepublic.eu. We sell to businesses and organisations (B2B). By requesting a quote or placing an order you accept these terms.

3. Quotes and Orders

• Prices shown on the website are indicative, exclude VAT and depend on quantity, product and branding method.
• A quote is binding only in writing and is valid for 14 days unless stated otherwise.
• An order is confirmed once we accept it in writing and, where applicable, the artwork proof is approved.
• Minimum order quantities apply per product and are stated in the quote.

4. Artwork and Branding

• You are responsible for the accuracy of the artwork you supply and confirm you hold the rights to all logos and materials used.
• Production starts only after you approve the digital mockup. Approved artwork cannot be changed once production has begun.
• Printed colours may differ slightly from screen or Pantone references due to material and process limits.

5. Prices and Payment

Prices are net of VAT, which is added on the invoice at the applicable rate. Payment terms are specified in the quote or on the invoice. Unless agreed otherwise, branded goods are produced against prepayment, as they cannot be resold.

6. Delivery

Lead times are stated per order and start from artwork approval, not from the order date. Delivery dates are estimates; we are not liable for delays caused by suppliers, carriers or events outside our control.

7. Quantity Tolerance

For printed and decorated goods a production tolerance of +/- 5% of the ordered quantity is standard in the industry. The delivered quantity is invoiced.

8. Complaints and Returns

Check the goods on receipt and report any defect or shortage within 7 days. Custom-branded goods made to your specification are excluded from return, except where they are defective.

9. Liability

Our liability is limited to the value of the order concerned. We are not liable for indirect or consequential loss, including loss of profit or missed events, to the extent permitted by law.

10. Personal Data

We process personal data as described in our Privacy Policy at merchrepublic.eu/privacy.

11. Governing Law

These terms are governed by Polish law. Disputes are subject to the courts competent for the seller's registered office.
